Weekly U.S. IPO & Equity Capital Markets Brief
This week, there are no major U.S. IPOs scheduled as market activity slows. Key companies have filed, but patience is advised for September opportunities.
Coverage: U.S. transactions of at least $100 million
1. Executive Summary
IPO Prophet® shows a 39, LUKE-WARM Heat Index. The absence of qualifying supply is consistent with late-August seasonality and supports patience until the September calendar develops.
The consequential activity is limited to the filed-but-untimed pipeline. CoVolt Power and Orion180 joined an already-public Q3 pipeline in which every watchlist name below has an S-1 or F-1 on file. None has launched terms for this week.
2. New Filing Pipeline
| Issuer | Status / venue | Terms | Syndicate | Read-through |
|---|---|---|---|---|
| CoVolt Power (KVLT) | S-1 filed Aug. 21; NYSE | Undisclosed; IPO Prophet® displays $100M placeholder | J.P. Morgan, Jefferies; RBC, UBS; KeyBanc, Nomura, Baird, Needham, Roth | Profitable solar/storage EPC; $3.6B backlog; H1 revenue timing and margin quality matter |
| Orion180 Insurance (OIG) | S-1 filed Aug. 20; Nasdaq Global Select | Undisclosed; IPO Prophet® displays $100M placeholder | RBC, UBS, Raymond James; Goldman, Deutsche, Citizens, Texas Capital | Rapid specialty-insurance growth and profitability; catastrophe/reinsurance risk will drive valuation |
CoVolt. First-half revenue declined to $308.3 million on project timing, while gross margin expanded to 17.6%, net income was $35.4 million and backlog reached $3.6 billion. Terms and primary-secondary mix will determine scarcity.
Orion180. First-half revenue rose to $80.1 million and net income to $13.5 million from a year-earlier loss. Growth is constructive; catastrophe exposure, reinsurance cost and founder control will frame valuation.
3. Underwriter and ECM Read-Through
No conventional book this week. There is no live institutional coverage metric to extrapolate. A quiet late-August calendar is not the same as a closed window; filed-but-untimed names are building September supply.
Syndicate preparation. CoVolt and Orion180 use broad multi-bank groups, suggesting both issuers are prioritizing distribution reach and execution resilience before committing to terms.
ECM health. The window is quiet and selective, not necessarily closed. The next useful evidence will come when a qualifying operating-company IPO launches with terms and begins building an institutional book.
