U.S. IPO & Equity Capital Markets Brief 9/21/2026

Sep 21, 2026 Eric Friedman

Explore the upcoming IPOs of Bamboo Insurance and ADARx Pharmaceuticals, along with insights on market trends and potential challenges in the equity capital markets this week.

Period: September 21-25, 2026
Coverage: Traditional U.S. operating-company IPOs and consequential ECM transactions of at least $100 million
Two qualifying IPOs are scheduled to trade this week. Bamboo and ADARx represent approximately $1.015 billion at midpoint; Oura is scheduled to trade September 30.

1. Executive Summary

Bamboo Insurance is expected to price September 22 and trade September 23. ADARx Pharmaceuticals is expected to price September 23 and trade September 24. Together, the two offerings represent approximately $1.015 billion at midpoint.

Oura launched 50.0 million shares at $40-$44, or $2.10 billion at midpoint, and is expected to price September 29 and trade September 30. It is shown separately because its debut falls outside the September 21-25 period.

IPO Prophet® shows a 44 WARM Heat Index. Electra priced at midpoint and opened flat, Orion180 priced below range and opened below issue, and Holtec postponed. The tape remains open but selective.

2. Active Qualifying IPO Calendar

Issuer Expected Range Shares / midpoint Venue Lead underwriters IPO Prophet® rating

No consequential non-IPO U.S. ECM transaction of at least $100 million with a firm execution date was identified at the cutoff.

3. Deal Analysis

Bamboo Insurance (BMB)

Terms and execution. Selling stockholders are offering 35.0 million shares at $18-$20, implying $665 million at midpoint. Bamboo receives no proceeds. J.P. Morgan and Morgan Stanley lead the NYSE offering, expected to price September 22 and trade September 23.

Demand, float and price discovery. The float is substantial and entirely secondary, so scarcity is not the core case. A strong result requires institutional acceptance of valuation and catastrophe risk, an intact share count, top-half pricing and long-only support in the opening auction. Public book-coverage multiples were not verified at the cutoff.

Key risks. Sponsor monetization, catastrophe exposure, reinsurance costs, geographic concentration and CVC control can cap the multiple. A below-range price or reduced share count would be a clear warning; even a premium open must hold its first pullback.

ADARx Pharmaceuticals (ADRX)

Terms and execution. ADARx is offering 21.9 million primary shares at $15-$17, implying approximately $350 million at midpoint. It is expected to price September 23 and trade September 24 on Nasdaq. J.P. Morgan, Morgan Stanley, TD Cowen and UBS are the lead underwriters.

Demand and float. AbbVie has agreed to a concurrent investment expected to produce an approximately 4.9% post-offering stake. Strategic support is constructive, but the base float is not exceptionally scarce.

Price discovery and risks. Specialist biotech demand, clinical conviction and crossover participation are decisive. Clinical concentration, development timelines, cash burn and a rate-sensitive biotech tape remain the main risks.

4. Next Scheduled Book

Issuer Terms announced Sept. 21 Offer structure Venue / underwriters Status and IPO Prophet® focus
Oura (OURA) $40-$44; 50.0M; $2.10B midpoint Primary and secondary; up to $2.20B Nasdaq; Goldman Sachs, Morgan Stanley, J.P. Morgan Expected to price Sept. 29 and trade Sept. 30. $400M of indicated interest supports demand, but 50M shares limits pure scarcity.

Oura (OURA)

Demand and float. Oura is the largest live book at $2.10 billion midpoint. Eli Lilly and Dragoneer have indicated interest in up to $400 million combined, roughly 19% of midpoint proceeds. The anchors improve visibility but do not eliminate the supply risk from 50 million shares.

Price discovery and risks. Brand awareness and subscription economics can create FOMO, but valuation sensitivity, hardware competition, consumer exposure and selling-holder supply remain important. Top-end or above-range pricing with intact shares would be the strongest execution signal.

5. Underwriter and Market-Structure Read-Through

Supply is larger than the dated calendar. Bamboo and ADARx represent approximately $1.015 billion of midpoint supply this week. Including Oura’s September 30 transaction, the three books represent approximately $3.12 billion.

Syndicate concentration is high. J.P. Morgan and Morgan Stanley sit across all three books, with Goldman Sachs also leading Oura. Allocation quality and price discipline will matter across a large consumer-health deal, an all-secondary insurer and a sizable biotech book.

Window health is selective. Electra’s flat open, Orion180’s discount open and Holtec’s postponement show that themes do not override valuation and execution.

6. IPO Prophet® Read-Through

Bamboo requires genuine price-insensitive demand, not a scarcity narrative. Oura has the strongest brand-led FOMO potential, but its 50 million-share float will expose weak allocation quality quickly. ADARx has strategic validation from AbbVie, but still requires constructive range behavior and crossover support.

Across all three books, the framework remains the same: verify demand, judge tradable float relative to that demand, require disciplined first-day price discovery and treat a premium open as meaningful only if the stock holds its first pullback. No Bull means no trade.

7. Q3 ECM Watchlist

Every name below has a public registration on file. Oura and ADARx are terms-set; Bamboo is scheduled; Holtec is publicly filed and postponed. Completed September IPOs are removed from the pending watchlist.
